Nexans to sell AmerCable to Mattr

Nexans announces the execution of an agreement to sell AmerCable to Mattr for US
$280 million, subject to regulatory clearance.

• With the proposed transaction Nexans continues to deliver on the implementation of its

strategy to refocus as a Pure Electrification Player.
Paris, France, November 8, 2024 – Nexans (NEX.FP), a leader in the global energy transition, announces
today the execution of an agreement to sell AmerCable, a leading manufacturer of electrical power, control
and instrumentation cables for harsh environments, to Mattr (MATR.TO) for an Enterprise Value of
$280 million.

Since 1922, AmerCable has been producing power cables designed to operate reliably over long periods
of time in extremely harsh operating environments for mining, and oil & gas markets. Based in the United
States, Arkansas, with 300 employees. AmerCable reported in 2023 standard sales of €234 million.
Christopher Guérin, Nexans CEO: "This agreement aligns with our strategy to refocus on Electrification and
simplify the Group. Acquired in 2012, AmerCable has been a key pillar of our Industry & Solutions portfolio.
The business went through a significant transformation over the last decade and in the last three years, with
the implementation of our SHIFT program, we have brought the business to its full potential and full capacity.
It was therefore the appropriate time to look for a new owner that could invest and grow the business further
as our cycle was successfully completed. Our AmerCable colleagues will join a company with a great
strategic fit and focus on specialty cables in North America."

Mike Reeves, Mattr CEO added: "AmerCable is a highly respected North American cabling company with
exceptional brand and product development capabilities. We plan to grow the business further and expand
its successful operations"

The proposed transaction remains subject to the fulfilment of customary conditions for this type of
transaction, including regulatory approvals and is expected to close  around year end.

FAQ About Cable / SHF1 versus SHF2 jackets for ...

SHF1 versus SHF2  jackets for marine cable applications

SHF1 and SHF2 are both sheath materials defined in IEC 60092-360. Both are halogen-free and manufacturers can modify these sheath materials based on customer needs, UV resistance, impact resistance, cold bending resistance, and similar tests. Generally, the characteristics of these sheaths are written in standard as follows:

SHF1: It is a halogen-free thermoplastic compound for use in external coating with a max temperature of 70 degrees. Generally, we use it inside of the ship.

The general composition ratios for SHF1 such compounds are as follows:

**Polymer Base (Polyolefins):** 40-60%

  - Polyethylene (PE) (C₂H₄)n
  - Polypropylene (PP) (C₃H₆)n
  - Ethylene-vinyl acetate (EVA) (C₂H₄)m(C₄H₆O₂)n

**Flame Retardants:** 30-50%

  - Aluminum Trihydrate (ATH) Al(OH)₃
  - Magnesium Hydroxide (MDH) Mg(OH)₂

**Plasticizers:** 5-15%

  - Improve flexibility and ease of processing.

**Stabilizers:** 1-3%

  - Enhance heat and UV resistance.

**Other Additives:** 1-5%

  - Color pigments
  - Antioxidants
  - Processing aids

These ratios may vary depending on the formulations of manufacturers and specific application requirements. For instance, some manufacturers may include additional additives to enhance mechanical properties or environmental resistance. For precise composition ratios, it is recommended to consult the technical documentation of the respective manufacturer.

SHF2: It is a halogen-free thermoset compound for use in external coating with a max temperature of 90 degrees. Generally, we use it outside and inside in ship.

The general composition ratios for SHF2 such compounds are as follows:

**Polymer Base (Polyolefins):** 50-60%

  - Cross-linked Polyethylene (XLPE) (C₂H₄)n , or EPR (Ethylene Propylene Rubber)  Ethylene (C₂H₄)& Propylene (C₃H₆)
  - Ethylene-vinyl acetate (EVA) (C₂H₄)m(C₄H₆O₂)n

**Flame Retardants:** 30-40%

  - Aluminum Trihydrate (ATH) Al(OH)₃
  - Magnesium Hydroxide (MDH) Mg(OH)₂

**Plasticizers:** 5-10%

  - Improve flexibility and ease of processing.

**Stabilizers:** 1-3%

  - Enhance heat and UV resistance.

**Other Additives:** 1-5%

  - Color pigments
  - Antioxidants
  - Processing aids

These ratios may vary depending on the formulations of manufacturers and specific application requirements. For instance, some manufacturers may include additional additives to enhance mechanical properties or environmental resistance. For precise composition ratios, it is recommended to consult the technical documentation of the respective manufacturer.

When we analyze SHF1 and SHF2 materials in terms of temperature performance:

**SHF1 Material:**

  - Operates within a temperature range of -40°C to +70°C.

  - Suitable for applications requiring moderate thermal endurance.

**SHF2 Material:**

  - Operates within a temperature range of -40°C to +90°C
.
  - Designed for applications demanding higher thermal resistance and stability.

When comparing the physical strength of SHF-1 and SHF-2 materials:

**SHF1 Material:**

  - Tear resistance is approximately between 4 N/mm and 7 N/mm.

  - Due to its non-cross-linked structure, SHF1 is more prone to cracking in environments with:
    - Deep bends or small bending radii.
    - Significant temperature fluctuations.

  - This makes SHFf1 less suitable for applications requiring high mechanical flexibility or durability in extreme conditions.

**SHF2 Material:**

  - Tear resistance is higher compared to SHF1 due to its cross-linked structure. Tear resistance can reach up to 7.5 N/mm, and in some cases, formulations allow for tear resistance up to 10 N/mm.

- SHF2 materials are more advantageous in environments with:
    - Greater temperature fluctuations.
    - Lower bending radii or more demanding mechanical conditions.

  - These properties make SHF2 the preferred choice for more challenging applications requiring higher mechanical and thermal performance.

The other differences between SHF1 and SHF2 are as shown in the table below.
